Official Rules

1. NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN.

A PURCHASE OR PAYMENT WILL NOT IMPROVE ONE'S CHANCES OF WINNING.

2. This Contest is not sponsored, endorsed or administered by FACEBOOK, nor is FACEBOOK associated with the Contest in any way. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor or Administrator, and not to FACEBOOK.

3. ENTRY PERIOD: The $100,000 Wear the Pants Project (the "Contest") starts on 2/1/11 at 12:00:00 PM Eastern Time ("ET") and ends on 3/15/11 at 11:59:59 PM ET ("Contest Entry Period").

4. ELIGIBILITY: Contest is open to legal residents of the 50 United States or the District of Columbia, and who are, as of entry date, 21 years of age or older. Employees, officers and directors of Levi Strauss & Co.("Sponsor"), Draft FCB and their respective parents, subsidiaries, affiliates, promotion and advertising agencies and members of each of their immediate family (spouse, mother, father, sister, brother, ward, daughter or son and their respective spouses, regardless of where they reside) and persons living in the same household of such employees, whether or not related, of each of the above, are not eligible to enter or win. Void in Puerto Rico and where prohibited by law. Contest is subject to all applicable federal, state and local laws and regulations.

5. HOW TO ENTER: To enter, log onto www.facebook.com/dockers ("Website"), and look for the $100,000 Wear the Pants Project Contest application ("Application"), and follow the directions to complete and submit the entry form and a written essay up to 400 characters telling us about your passion for a particular plan/goal you have for your life and how you hope to achieve it (together, the "Entry"). Each Entry must be submitted by an individual; One Entry submitted by two or more individuals will not be accepted. Entries generated by script, macro or other automated means will be void. Limit: one (1) Entry per person, per email address. All Entries received from any Entrant or email address in excess of the stated limitation will be void. All Entries become the sole property of the Sponsor and will not be returned. All Entries will be posted on The Dockers® Facebook Application and will be available for public review.

6. ENTRY CONDITIONS: Each Entry must be the Entrant's own original work, be in English, may not have been previously published, may not have won previous awards, and must be in keeping with the Sponsor's image, as determined by Sponsor in its sole discretion, nor can Entry infringe upon the copyrights, trademarks, or other intellectual property of any person or entity nor be offensive or inappropriate, as determined by the Sponsor in its sole discretion, nor can it defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person's personal or property rights or any other third party rights. If any Entry contains the names or likenesses of any third party, the Entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Entrant at any time. Failure to provide such proof may, if requested, result in the Entry being voided. By submitting an Entry, Entrant warrants and represents that he/she and any persons who are identifiable in the Entry consent to the submission and use of the Entry in the Contest and to its use as otherwise set forth herein.

By submitting an Entry, Entrant acknowledges and agrees that Sponsor may receive many Entries under this Contest and that such Entries may be similar or identical in theme, idea, format or other respects to others submitted under this Contest and/or other materials or promotions developed, staged and/or sponsored by the Sponsor or its agents and contractors, and waive any and all claims Entrant may have had, may have, and/or may have in the future, that any composition and/or other works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to his/her Entry. Except where prohibited by law, each Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to Entrant's Entry.

7. JUDGING OF ENTRIES:

Round 1: Round 1 will take place during the Contest Entry Period (as previously stated, beginning 2/1/11 at 12:00:00 PM Eastern Time ("ET") and ending on 3/15/11 at 11:59:59 PM ET). All eligible Entries received within the Contest Entry Period will be posted on The Dockers® Facebook Application for public voting during the Contest Period. Limit: one vote per person per day for any given Entry. The top fifty (50) Entries that receive the highest number of votes in Round 1 will be entered into Round 2 ("Round 2 Entrants").

Round 2: The fifty (50) Round 2 Entrants will be contacted via phone, e-mail and or mail on or about 3/16/11 requesting the entrant to send in an essay of a minimum of 500 words and a maximum of 1,000 words describing their passion or goal and how the $100,000 prize will be used to achieve their goal and a maximum of two (2) photos and/or one (1) video or a combination of one (1) photo and one (1) video which illustrate the passion or goal ("Round 2 Submissions"). It is not necessary that the photo(s) and video include depictions of the Entrant. A photo must be uploaded in JPEG format with picture dimensions no larger than 500x500 pixels; any uploaded video must be no longer than two minutes in length and must be uploaded in .WMV or .MOV format. If the video is more than two minutes in length, only the first two minutes will be judged. Any photo or video uploaded in a format not specified herein may not be judged at the sole discretion of the judges and/or Sponsor. All photograph and video submissions must comply with the provisions listed in section 6 above. All Round 2 submissions must be received by 5:00 PM ET on 3/25/11 by following the instructions they receive in the communication by the Sponsor and/or its agency or they may be disqualified at Sponsor's discretion. Round 2 Submissions received after the date specified herein will be disqualified from the Contest at the Sponsor's discretion. All eligible Round 2 Submissions will be judged by a panel of qualified judges by 4/5/11 based equally on the following criteria: Originality, Creativity and Suitability to represent the Dockers Brand. The Round 2 judging will determine the top five (5) Entrants ("Finalists"). On or about 4/6/11, the five (5) potential Finalists will be asked to complete and return documents including but not limited to, [a] Agreement of Prize Acceptance Conditions (chosen as the Grand Prize Winner as described in Rule #11); [b] an Affidavit of Eligibility/Release of Liability; and [c] Background Check Authorization (collectively "Legal Documents"). All Legal Documents are required and must be completed, signed, notarized (if requested), and returned by 4/12/11 or the Potential Finalist(s) will be disqualified. At the Sponsor's discretion, the Potential Finalists will be posted on The Dockers Facebook Application on or about 4/25/11 for the final round of public voting ("Final Round/Public Voting").

Final Round/Public Voting: Eligible Finalists will be posted on The Dockers Facebook Application for public voting from 12:00:00 PM ET on 4/25/11 until 11:59:59 PM ET on 5/1/11 ("Final Voting Period"). Limit: one vote per person per day for any given Entry. The Finalist with the highest number of votes will be Potential Grand Prize Winner ("Potential Grand Prize Winner") and will be announced on or about 5/2/11.

In the event of a tie at any stage of the judging process outlined above, the potential winner of the tie will be determined based on the highest score for Suitability to represent the Dockers Brand; In the event of a further tie, winner will be determined based on the highest score for Creativity; In the event of a further tie, winner will be determined based on the highest score for Originality.

8. NOTIFICATION: The Potential Grand Prize Winner will be notified by telephone, mail and/or email approximately 10 days following the Final Voting Period and may be required to complete an Affidavit of Eligibility, Liability and Publicity Release (unless prohibited by law), which must be returned within seven (7) days of date appearing on prize notification. Return of prize notification as undeliverable; failure to sign and return requested documentation within seven (7) days of issuance; Sponsor's inability to contact Potential Grand Prize Winner within a reasonable time period; or noncompliance with these Official Rules by Potential Grand Prize Winner will result in disqualification and the prize may be awarded to an alternate winner at Sponsor's sole discretion.

9. PRIZE AND APPROXIMATE RETAIL VALUES ("ARV"): One (1) Grand Prize of $100,000 to be used for the purposes of pursing the Winner's stated plan/passion/goal in the winning Entry will be awarded to the Grand Prize Winner who has met all qualifications described herein ("the Grand Prize Winner"). In addition, Grand Prize Winner will also receive $50,000 to help defray payment of income and sales taxes payable as a result of winning the Grand Prize and receiving this additional $50,000 payment. The Sponsor makes no warranties, guarantees or representations that these funds will be sufficient to pay the Grand Prize Winner's tax liability. Total ARV of the Grand Prize: $150,000). Prize will be awarded in a form of a check in four (4) equal installments over one (1) year from the date of the Grand Prize Winner is verified and confirmed. Each check will be awarded in the Winner's name and will be subject to all local, state and federal taxes which are the sole responsibility of the Winner. Awarding of prize is subject to verification of eligibility and compliance with these Official Rules.

10. BACKGROUND CHECK: Sponsor has the right to conduct a background check ("Check") of any and all records of Finalists at its own discretion, including without limitation, civil and criminal court records and police reports, which he/she, to the extent necessary under law, shall authorize; Sponsor may take all steps necessary to corroborate any information provided to Sponsor by any Finalists and he/she will be obligated to provide necessary contacts and information for the Check; if a felony conviction is found, Sponsor has the right, in its sole discretion, to disqualify the felon from participating in any type of Publicity.

11. PRIZE ACCEPTANCE CONDITIONS: By accepting the Grand Prize, the Potential Grand Prize Winner a).agrees to complete, sign and have notarized all Legal Documents mentioned in these Official Rules. b). gives the Sponsor the permission to announce his/her name or likeness on the Website; and c) gives the Sponsor the permission to use his/her Facebook Profile Picture on the Website. The Legal Documents will include a Prize Acceptance Agreement ("Agreement") which will outline the Grand Prize winner's responsibilities. By signing this Agreement , the Grand Prize winner gives Sponsor the right to i) use Grand Prize winner's name, likeness or image, and Entry for advertising and PR purposes to support/promote future Dockers® Wear the Pants Project program. ii) require the Grand Prize winner to provide monthly written and verbal updates on what s/he is doing to succeed in their plan outlined in their Entry and /or provide photos/videos/diagrams to support their updates iii) require the Grand Prize winner to participate in interviews conducted by Sponsor related to their winning in this Contest.

12. GENERAL: All prize details not specified herein as being awarded will be at the sole discretion of the Sponsor. No substitution, or transfer of prize (or portion thereof) is permitted, except by Sponsor, which reserves the right to substitute a prize (or portion thereof) with one of comparable or greater value, at its sole discretion. Any and all federal, state, and local taxes on the prizes, and any other costs, fees, and expenses associated with prize acceptance and use not explicitly stated herein as being awarded, are the sole responsibility of the Winner.

By participating, each Entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsor, and their respective parents, affiliates, subsidiaries, retailers, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, "Released Parties") from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from his/her participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize (including any activity related thereto); and (c) to the use of his/her name, voice, performance, photograph/video, Entry, image and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without compensation, notification (unless prohibited by law) or additional consents from nominator or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.

13. OWNERSHIP/USE OF ENTRIES: By submitting an Entry, each Entrant agrees Sponsor shall own the Entry submitted (including all rights embodied therein) and Sponsor and its designees may edit, publish, use, adapt, exploit, modify, copy, disseminate or dispose of any Entry, the concepts embodied therein or any elements thereof, proper names, online, in print, film, television, or in any other media now known or hereafter devised for advertising and promotional purposes worldwide in perpetuity without compensation or notification to or permission from the Entrant of any kind, except as prohibited by law.

Released Parties are not responsible for lost, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prizes, or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Contest be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest (or portion thereof) and, if terminated, at its discretion, select the Potential Winner from all eligible, non-suspect Entries received for the Contest Period prior to action taken using the judging procedure outlined above. In the event of a dispute, the name of the "authorized account holder" associated with any given email address will be deemed to be the Entrant and he/she must comply with these Official Rules. The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, an online service provider, or another organization that is responsible for assigning email addresses or the domain associated with the submitted email address. Proof (to Sponsor's satisfaction) of being the authorized account holder may be required by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
